Terms of Service
Effective October 10, 2026
These Terms of Service (“Terms”) are an agreement between you and Ripliancum LLC (“Riplii,” “we,” “us”) and govern your use of the Riplii construction management platform, the riplii.com website, the Riplii iOS app and related services (the “Service”). By creating an account, signing in, or using the Service, you agree to these Terms. If you use the Service on behalf of a company or other organization, you agree to these Terms for that organization and confirm that you have authority to bind it; “you” then includes the organization. If you do not agree, do not use the Service.
1. Accounts
- You must be at least 18 years old and able to form a binding contract to use the Service.
- Give accurate information when you register and keep it up to date.
- You are responsible for keeping your sign-in credentials secure and for activity under your account. Tell us promptly at riplii@riplii.com if you suspect unauthorized use.
- If you sign in with Apple, Google or Microsoft, your use of that account is also subject to that provider’s terms.
2. Organizations, projects and permissions
An organization’s administrators control its members, roles, permissions, verified domains and join settings, and may add, remove or change your access. When an organization lets people at a verified email domain join automatically, anyone who signs in with an account at that domain may be added with the role the organization chose. Project owners decide which companies and people can take part in their projects and what those participants can see. You are responsible for the permissions you grant and for inviting only people you intend to share information with.
3. Your content
You and your organization keep all rights in the content you submit to the Service, including drawings, files, photos, records, bids and data (“Customer Content”). You grant Riplii a worldwide, non-exclusive, royalty-free license to host, copy, process, transmit and display Customer Content only as needed to provide, secure and support the Service, and as you or your organization direct (for example, sharing with project participants, sending emails or running an AI feature you choose). You represent that you have the rights needed to submit Customer Content and to let us use it this way, and that it does not violate the law or anyone else’s rights. Our Privacy Policy explains how we handle personal information.
You are responsible for the accuracy of Customer Content and for keeping your own copies of anything you need. You can export much of your data from the Service; we are not a records-retention or archiving service.
4. Acceptable use
You agree not to:
- break the law, infringe others’ rights, or upload content you do not have the right to share;
- upload malware or content designed to harm systems or people;
- access accounts, projects or data you are not authorized to access, or probe, scan or test the vulnerability of the Service without our written permission;
- interfere with or overload the Service, or use automated means to access it except through interfaces we provide (including the API and AI connections) and within any limits we set;
- copy, resell or reverse engineer the Service, or use it to build a competing product;
- send spam or unsolicited messages through the Service; or
- misrepresent your identity, company or affiliation, including when bidding or verifying a domain.
5. AI features and connected apps
The Service includes features that use artificial intelligence, and lets you connect AI assistants and other apps to your account. AI output can be incomplete or wrong. You are responsible for reviewing it before you rely on it or send it to others. A connected app acts with your account’s access and the permissions you grant it, and you are responsible for what you allow it to do. You can disconnect it at any time.
6. Not professional advice
Riplii is a tool for managing construction information. It does not provide engineering, architectural, legal, accounting, tax, safety or other professional advice, and it does not replace the judgment of qualified professionals. Calculations, schedules, cost reports, measurements on drawings, compliance tracking and other outputs depend on the data entered and should be checked before you rely on them for bids, payments, contracts, construction or safety decisions.
7. Fees
The core Service is currently offered free of charge. Some features, such as additional storage or AI usage, may require payment. We will show you the price and terms before you incur any charge, and paid features are subject to those terms. We may change which features are free or paid with reasonable notice; changes will not apply retroactively to amounts you have already paid.
8. Third-party services
The Service works with third-party services, such as sign-in providers, email, maps and calendar or accounting integrations. Your use of them is governed by their terms, and we are not responsible for them.
9. Our intellectual property and feedback
Riplii and its licensors own the Service, including its software, design and trademarks. We grant you a limited, non-exclusive, non-transferable right to use the Service under these Terms. If you send us feedback or suggestions, we may use them without obligation to you.
10. Suspension and termination
You may stop using the Service at any time, and you can delete your account under Account on the web or in the iOS app, or by emailing riplii@riplii.com. We may suspend or end your access if you breach these Terms, if your use creates a security or legal risk, or if we stop offering the Service. Where reasonable, we will give notice and a chance to export Customer Content first. Sections that by their nature should survive termination (including 3, 6, 9, and 11 through 14) survive.
11. Disclaimers
THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE.” TO THE FULLEST EXTENT PERMITTED BY LAW, RIPLII DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE AND NON-INFRINGEMENT, AND ANY WARRANTY THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE OR SECURE, OR THAT DATA WILL NOT BE LOST.
12. Limitation of liability
TO THE FULLEST EXTENT PERMITTED BY LAW, RIPLII WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, REVENUE, DATA, BIDS OR BUSINESS OPPORTUNITIES, ARISING OUT OF OR RELATED TO THE SERVICE, EVEN IF ADVISED OF THEIR POSSIBILITY. RIPLII’S TOTAL LIABILITY FOR ALL CLAIMS ARISING OUT OF OR RELATED TO THE SERVICE OR THESE TERMS WILL NOT EXCEED THE GREATER OF THE AMOUNT YOU PAID RIPLII IN THE 12 MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM AND ONE HUNDRED U.S. DOLLARS ($100). SOME JURISDICTIONS DO NOT ALLOW CERTAIN OF THESE LIMITATIONS, SO THEY MAY NOT APPLY TO YOU.
13. Indemnity
You will defend, indemnify and hold harmless Riplii and its members, officers and contractors from any third-party claims, damages, liabilities and costs (including reasonable attorneys’ fees) arising from Customer Content, your use of the Service, or your breach of these Terms or the law.
14. Governing law and disputes
These Terms are governed by the laws of the State of Delaware, without regard to its conflict-of-laws rules. The state and federal courts located in Delaware have exclusive jurisdiction over any dispute arising out of or relating to these Terms or the Service, and you and Riplii consent to their jurisdiction. Before filing a claim, each party agrees to try to resolve the dispute informally by contacting the other for at least 30 days.
15. Changes to these Terms
We may update these Terms from time to time. We will post the new version here with a new effective date and, for material changes, notify you by email or in the app before they take effect. If you keep using the Service after changes take effect, you accept the updated Terms.
16. General
These Terms and the Privacy Policy are the entire agreement between you and Riplii about the Service. If a provision is unenforceable, the rest stays in effect. Our failure to enforce a provision is not a waiver. You may not assign these Terms without our consent; we may assign them in connection with a merger, acquisition or sale of assets. Neither party is liable for delays caused by events beyond its reasonable control.
Apple is not a party to these Terms and has no responsibility for the Service or the iOS app, except that Apple and its subsidiaries are third-party beneficiaries of these Terms for your use of the iOS app and may enforce them. Your use of the iOS app must also comply with the Apple Media Services Terms.
